The ever-evolving world of technology, media, and telecom poses both significant risks and opportunities to Asian investors. With the rising emergence of key players from Asia, these issues are faced with the additional challenge of cross-border relations with new and expanding markets. This panel will examine those issues and discuss the strategies and approaches to TMT M&A in a global economy.
SpeakersAudrey ChenPartner, Jun HeAudrey Chen is a partner of Jun He Law Offices in Beijing. Ms. Chen specializes in M&A, foreign investment, banking and financing, general corporate work. She also has extensive experience in energy, mining, automobile, retail, real estate, technology and IP projects. Ms. Chen has assisted many domestic and international clients from different industries in IPOs, venture capital financing and acquisitions. Her clients include many major domestic corporations and Fortune 500 companies. Ms. Chen has previously worked in the New York office of Jones Day Reavis & Pogue where she advised clients on investment projects in China as well as on international business transactions. Ms. Chen received her B.A. from Beijing Shifan University, LL.M. from Renmin University of China, and LL.M. from University of California at Berkeley School of Law (Boalt Hall). James ChenPartner, Lee and LiJames Chen is a partner at Lee and Li in Taiwan. He is a leader of the telecom and media practice group at Lee and Li and has regularly acted as a consultant to regulators in telecom, media law and policy. He has a wide range of practices with a special focus on corporate and investment matters. He specializes in M&A transactions, many of which are cross-border. He has advised China Network Systems in the transactions for sale of related cable systems to MBK, a private equity fund, and Fairchild Semiconductors on the acquisition of System General Corporation, a Taiwan listed company. He has also advised Taiwan Cement, GigaMedia Limited, Far EasTone, PCCW, STATS Chippac, and Sanofi-Aventis in M&A transactions. James Chen is a graduate in law from the National Taiwan University. He received a LLM degree at Soochow University and a MBA degree at Massachusetts Institute of Technology (Sloan School of Management). Joseph W.K. ChanPartner, Sidley AustinJoseph Chan is a seasoned corporate lawyer with over a decade of experience. Mr. Chan has worked on over US$41 billion of private equity, venture capital, capital markets, mergers, acquisitions, and other strategic transactions. Mr. Chan’s practice encompasses a wide range of corporate securities transactions, including private equity fund formation (both offshore and RMB funds), portfolio investments, M&A, and a variety of going-public transactions in the US and Hong Kong. Mr. Chan is ranked and recommended by Chambers Asia and IFLR 1000 for private equity and venture capital in China. He is featured in AVCJ/Private Equity Asia Who’s Who in Private Equity—China. He is the author and editor of the first definitive bilingual treatise in the industry published by LexisNexis and China Law Press. Mr. Chan frequently speaks at industry conferences. Mr. Chan’s views have been quoted or published in a number of leading publications such as the Harvard Business Review China. H. Henry ChangPartner, Baker & McKenzieMr. H. Henry Chang is Managing Partner of the Taipei office of Baker & McKenzie (B&M). He regularly advises multinational and domestic clients on their cross-border investments and disputes resolution, and focuses in the areas of mergers and acquisitions, corporate compliance and TMT practice. Mr. Chang is also a member of B&M's Policy Committee, Asia Pacific Regional Council and serves on its global Professional Responsibility and Practice Committee (PRPC) governing professional ethics. He formerly headed up the Taipei office's M&A, TMT and Hotel and Resorts practice groups. He currently serves on the regional Dispute Resolution steering committee. He was named a Leading Lawyer in Taiwan by IFLR in 2011, and also a Leading Individual Lawyer by Chambers Global. His other duties include serving on the Board of Governors of the European Chamber of Commerce, International Affairs Committee of the Chinese Arbitration Association Taiwan and adjunct professor at Soochow University Tom TongPartner, Locke Lord Bissell & LiddellTom Tong is an International Partner with Locke Lord Bissell & Liddell LLP. His practice focuses on China-related transactions and litigation. Having represented some of the most prominent Chinese companies and individuals in both transaction and litigation matters, Mr. Tong is familiar with various China-specific issues, some common to all types of Chinese companies and individuals, and others unique to state-owned companies. His knowledge of both the U.S. and Chinese legal systems, understanding of the Chinese economic and political systems, language skills, and cultural sensitivity enable him to efficiently represent clients in China related matters. Most recently, Mr. Tong represented Chinese companies in their acquisition of U.S. based companies in oil and gas, general aviation, and equipment distribution industries.
