A merger or acquisition is one of the most transformative undertakings in the life of a firm. The sustainability of such an undertaking is a matter of great importance over the long-term. M&A in Asia is going through a period of rapid change, from increased activity in Japan, to continued growth in China, to new developments in India, to the increase in private equity activity. In periods of growth, M&A can provide enhanced economies of scale and corporate synergies. During times of economic decline, however, governments tend to increase the regulation of M&A based on the failures of previous combinations. The nature of the current transformations in Asian M&A and the long-term sustainability of today's M&A will affect the worldwide market for years to come.
Mr. Matthew Ginsburg of Morgan Stanley is Managing Director and Head of Asia-Pacific Investment Banking Department. He joined the firm in 1996, and has been in investment banking for more than seventeen years, fifteen of which have been in Asia working on a variety of transactions across the region. In particular, he has had significant experience in the financial services sector. Mr. Ginsburg received an A.B. in East Asian Studies (cum laude) from Harvard University in 1986 and a Masters of Management from Northwestern University’s J.L. Kellogg Graduate School of Management in 1992.
Mr. Amorosi is a partner in Davis Polk & Wardwell’s Corporate Department, specializing in mergers and acquisitions. The M&A transactions he has worked on included CNOOC Limited's attempted acquisition of Unocal Corporation for approximately $18.5 billion. Mr. Amorosi graduated, cum laude, from Georgetown University in 1991 and in 1995 received his J.D., magna cum laude, Order of the Coif, from Georgetown University Law Center. Robert DeLaMater is a partner at Sullivan & Cromwell. He is a member of its Mergers & Acquisitions Group and Financial Institutions Group and throughout his career has advised U.S. and non-U.S. entities and their financial advisors in acquisitions, securities offerings and other corporate and financial matters. From 1997 to 2003 he was the managing partner of S&C's offices in Hong Kong and Tokyo and led S&C's work for clients throughout Asia in the region's most significant privatizations, acquisitions and securities offerings. Scott Jones is a partner at Jones Day. Scott represents both Japanese clients in their investments overseas and foreign clients in connection with their investments in Japan. He has significant experience in cross-border investments, corporate acquisitions, joint ventures, and licensing/distributorship agreements. Due to his strong technical background, he has represented many chemical, pharmaceutical, and high-technology companies, both Japanese and foreign.
